1. AGREEMENT TO TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and CoverGEO (“Company,” “we,” “us,” or “our”), concerning your access to and use of the CoverGEO services and website (collectively, the “Services”).

You agree that by accessing the Services, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

We reserve the right to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Terms are posted.

2. SERVICES

CoverGEO provides users with access to generative AI search analytics and services designed to help businesses improve their presence on generative engine answers (“Services”). Our platform offers tools for analyzing, optimizing, and monitoring how your business appears in AI-generated search results. The features and services may change from time to time as we continue to develop and improve our offerings.

CoverGEO currently offers these Services through a free version. We may, at our sole discretion, introduce paid subscription plans in the future. Any introduction of paid services will be communicated to users with reasonable notice, and continued use of the Services after such changes will constitute acceptance of the new terms.

3. USER REGISTRATION

To access certain features of the Services, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form. You are responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account. You agree to immediately notify CoverGEO of any unauthorized use of your account or password, or any other breach of security.

4. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. You have the legal capacity to accept these Terms;
  2. You are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services;
  3. You will not access the Services through automated or non-human means;
  4. You will not use the Services for any illegal or unauthorized purpose;
  5. Your use of the Services will not violate any applicable law or regulation.

5. PROHIBITED ACTIVITIES

You agree not to:

  1. Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  2. Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
  3. Circumvent, disable, or otherwise interfere with security-related features of the Services.
  4. Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
  5. Use any information obtained from the Services in order to harass, abuse, or harm another person.
  6. Make improper use of our support services or submit false reports of abuse or misconduct.
  7. Use the Services in a manner inconsistent with any applicable laws or regulations.
  8. Engage in unauthorized framing of or linking to the Services.
  9. Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services.
  10. Delete the copyright or other proprietary rights notice from any content.
  11. Attempt to impersonate another user or person or use the username of another user.
  12. Sell or otherwise transfer your profile.
  13. Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any material on the Services.
  14. Introduce any malware, viruses, Trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
  15. Copy, duplicate, reverse engineer, or attempt to replicate any CoverGEO features, functionality, user interfaces, or proprietary elements.
  16. Create, develop, or offer any service that competes with or is substantially similar to the Services, or otherwise attempt to create a substitute or similar service using knowledge gained from your use of the Services.
  17. Use the Services in a manner that places excessive demand on our servers or other infrastructure, as determined by us in our sole discretion.
  18. Use the Services for any purpose that may infringe on the intellectual property rights, privacy rights, or other rights of any person or entity.

6. USER CONTENT

The Services may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“User Content”). You are responsible for the User Content that you post to the Services, including its legality, reliability, and appropriateness.

By posting User Content to the Services, you grant us the right and license to use, modify, perform, display, reproduce, and distribute such material on and through the Services. You retain any and all of your rights to any User Content you submit, post, or display on or through the Services and you are responsible for protecting those rights.

You represent and warrant that:

  1. The User Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms.
  2. The posting of your User Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 CoverGEO Ownership

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by CoverGEO, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 License to Use Services

Subject to these Terms, CoverGEO grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your business purposes in accordance with these Terms.

7.3 Restrictions

You shall not:

  1. Copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as necessary to use the Services as intended.
  2. Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services.
  3. Access or use for any commercial purposes any part of the Services or any services or materials available through the Services, except as explicitly permitted by these Terms.

7.4 Generated Content

CoverGEO retains all right, title, and interest in and to any analytics, reports, recommendations, insights, or other output generated by the Services (“Generated Content”). While you are granted a limited license to use Generated Content for your own business purposes during the term of your use of the Services, you may not claim ownership of, or intellectual property rights in, any Generated Content.

8. PAYMENTS AND SUBSCRIPTION

8.1 Free Services

CoverGEO currently offers its Services at no charge (“Free Services”). We reserve the right to modify, terminate, or otherwise amend our Free Services at any time.

8.2 Future Paid Services

We may introduce paid subscription plans or premium features in the future. When we do, additional terms related to pricing, billing cycles, payment methods, and cancellation policies will be provided and will become part of these Terms upon your use of those paid Services.

8.3 Usage Limitations and Throttling

CoverGEO reserves the right to place limitations on the usage of our Services, including but not limited to:

  1. Limiting the number of queries, requests, or reports that can be generated in a given time period
  2. Throttling access to certain features during periods of high demand
  3. Imposing storage limits on user data
  4. Restricting certain advanced features

These limitations may be imposed on all users or specific users at CoverGEO’s sole discretion, particularly in cases of excessive usage that may negatively impact platform performance for other users. We will make reasonable efforts to notify you if throttling is applied to your account.

9. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to third-party websites and services, including Replit. These links are provided solely as a convenience to you and not as an endorsement by us of the content on such third-party websites. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We encourage you to read the terms and conditions and privacy policy of each third-party website that you visit.

10. TERM AND TERMINATION

These Terms shall remain in full force and effect while you use the Services. We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

11. LIMITATIONS OF LIABILITY

In no event shall CoverGEO, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of or inability to access or use the Services;
  2. Any conduct or content of any third party on the Services;
  3. Any content obtained from the Services; and
  4. Unauthorized access, use, or alteration of your transmissions or content,

whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

12. DISCLAIMER

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. CoverGEO expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that:

  1. The Services will meet your requirements;
  2. The Services will be uninterrupted, timely, secure, or error-free;
  3. The results that may be obtained from the use of the Services will be accurate or reliable;
  4. The quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless CoverGEO and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:

  1. Your use and access of the Services;
  2. Your violation of any term of these Terms;
  3. Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
  4. Any claim that your User Content caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Services.

14. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of Alberta, Canada, without regard to its conflict of law provisions. Any disputes relating to these Terms will be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.

You agree that any lawsuit or action related to these Terms or the Services shall be commenced within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred.

15. SEVERABILITY

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

16. ENTIRE AGREEMENT

These Terms constitute the entire agreement between us regarding our Services, and supersede and replace any prior agreements we might have between us regarding the Services.

17. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.

18. FEEDBACK AND SUGGESTIONS

If you provide CoverGEO with any feedback, suggestions, comments, or ideas relating to the Services (“Feedback”), you hereby assign to CoverGEO all rights, title, and interest in and to the Feedback. CoverGEO shall be free to use, copy, modify, publish, or redistribute the Feedback for any purpose and in any way without any compensation to you.

19. NON-COMPETE AND NON-CIRCUMVENTION

During the term of your use of the Services and for a period of twelve (12) months thereafter, you agree not to develop, create, or assist in the creation of any product or service that competes with the Services or any features thereof. You further agree not to circumvent CoverGEO to obtain similar services from third parties based on knowledge gained from your use of the Services.
